Explanation / Answer

The development phases of M&A are as follows:
1. Developing strategic objective of the merger and acquisition.
2. Buyers assessing the available options
3. Identify the target and engage into fruitful negotiation.
4. Identify the value of target company, evaluate financial statement and reach towards initial agreement.
5. Conduct due diligence in order to learn more about the target company.
6. Negotiate final terms and conditions
7. Integration of all the operations of both the company.

HR implications usually occur in the 7th stage of the M&A after the integration it is important to have unified culture throughout the organisation and developing mission and vision statement for the merged organisation. Maintain good relationship between the two companies within the organisation can also be a challenge for the HR team. HR implications can arrive while designing policies for the merged company.
It is very important for the HR team to communicate effectively and efficiently to all the stakeholders of the organisation before the integration as well. Communication can be the key to handle resistance towards the change.
