General Construction Company (GCC) tells Industrial Supplies, Inc., that it needs an adhesive to do a particular job. Industrial provides a five-gallon bucket of a certain brand. When it does not perform to GCC’s speci­fications, GCC sues Industrial, which claims, “We didn’t expressly promise anything.” What should GCC argue?

Explanation / Answer

Issue - The plaintiff ( GCC) offered the defendant ( Industrial Supplies Inc.) to sell an adhesive to do a particular job. Defendant accepted the offer and provided a five gallon bucket of a brand, presumably for a consideration. The product did not fulfill the purpose.

Rule - The product meant for a purpose needs to fulfill it. It is an implied promise on the part of seller. Ther is no need of an express promise for it. The seller's statement makes him liable for breach of contract.

Application - The adhesive was meant to do the job ( join or fix together) it was purchased for. The buyer already specified the purpose,and seller being in business is expected to sell the right product fulfilling the said purpose. The performance of adhesive is an implied promise, because adesive is meant for it. There is no need for an express promise on the part of seller.

Conclusion - The seller has breached the contract by not fulfilling the implied promise to the buyer and he is liable for it.
