It has become more difficult to get all 25 shareholders/ board members together, and you have been unable to obtain a quorum at the most recently scheduled meetings.
The physicians that do attend are becoming increasingly frustrated. The prevailing culture is that physicians traditionally have been involved in the decision-making process.

- What recommendations will you make to make the board more functional? Address current structure, committees you might develop, frequency of meetings, commutations to keep all of the doctors informed following and in between meetings.

To make the board more functional you need to make strategies that would be able to aggregate all the phycians on the board because it is the lack of management that does not allow all physicians to be together in the same meeting.
Try to make a friendly environment that includes the intresting conversations because it is just the corporate structure that makes all the physicians frustrated.
You should listen to all the physicians and include advices of all the board members in the full decision making.
You should not call many meetings, it should be in limit that doesn't make the board members frustrated.
You should frequently arrange informal get together to make the interactions between all the board members so that it will be an easier task to have communications between all the board members.
